Terms of Use

1. Introduction

Pannifera, Inc. (“Pannifera,” “we,” “our,” or “us”) develops a system-level physical control architecture designed to manage heat, vapor, condensation, and liquid behavior across food delivery environments.

This website (the “Site”) provides descriptive information regarding Pannifera’s system architecture, product concepts, modeling outputs, and potential deployment pathways.

These Terms of Use (“Terms”) govern your access to and use of the Site. By accessing or using the Site, you agree to be bound by these Terms.

2. Purpose and Use of the Site

a) Scope

The Site presents high-level descriptions of Pannifera’s system architecture, product configurations, and modeled performance characteristics. It does not disclose proprietary system design details, engineering specifications, manufacturing processes, or underlying modeling frameworks.

b) Eligibility

You may use the Site only if you are legally capable of entering into a binding agreement in your jurisdiction.

c) Permitted Use

You may:

• Review public materials

• Reference the Site for informational purposes

• Submit inquiries regarding pilot programs or commercial engagement

All use must comply with these Terms and applicable law.

d) Prohibited Conduct

You may not:

• Reverse engineer, infer, or attempt to derive system architecture, design logic, or modeling frameworks

• Misrepresent Pannifera’s capabilities, performance characteristics, or product status

• Use Site materials for deceptive, unlawful, or competitive misuse

• Interfere with Site operation, security, or availability

e) No Rights Conferred

Access to the Site does not grant any license or rights to Pannifera’s intellectual property, system architecture, or associated technologies unless expressly granted in writing.

3. Product Status and Commercial Engagement

Pannifera products, systems, and configurations referenced on this Site may include prototypes, conceptual renderings, or pre-commercial designs.

All product deployment, pilot programs, and commercial engagements are subject to separate written agreements defining scope, specifications, intellectual property, confidentiality, and commercial terms.

Nothing on the Site constitutes:

• a binding offer

• a product guarantee

• a commitment to deliver specific configurations or outcomes

4. Intellectual Property

a) Ownership

All Site content—including text, graphics, visualizations, product renderings, diagrams, system representations, trademarks, and logos—is owned by or licensed to Pannifera and is protected by applicable intellectual property laws.

b) Limited Reference Use

Public content may be referenced with proper attribution. Reproduction, redistribution, modification, or commercial use requires prior written permission.

c) Trademarks & System Identity

“Pannifera,” “Physics. Controlled.” and associated marks, system descriptions, and visual elements may not be used without authorization.

5. Modeling and Performance Representations

The Site may include references to modeled system behavior, including but not limited to Monte Carlo simulations and outcome distribution analysis.

Such materials:

• reflect modeled or controlled conditions

• are directional in nature

• do not constitute guarantees of real-world performance

Actual results may vary based on:

• product configuration

• operating conditions

• food type

• delivery duration and environment

6. Submissions and Communications

Unsolicited submissions are non-confidential unless otherwise agreed in writing.

Submission of materials or inquiries does not create:

• any obligation by Pannifera

• any compensation right

• any ownership interest

All communications must be lawful, accurate, and non-disruptive.

7. Disclaimers

a) Informational Nature

Materials on the Site are descriptive of system architecture, product concepts, and modeled behavior. They do not constitute engineering specifications, operational guarantees, or professional advice.

b) No Warranty

The Site and its content are provided “as is,” without warranties of accuracy, completeness, fitness for a particular purpose, or uninterrupted availability.

8. Non-Reliance and Limitation of Liability

Use of the Site does not create any commercial, engineering, advisory, or fiduciary relationship.

To the maximum extent permitted by law, Pannifera disclaims liability for indirect, incidental, consequential, or punitive damages arising from Site use.

If liability cannot be fully disclaimed, it is limited to USD $100.

9. Ethical and Responsible Use

You agree not to use Site content for:

• misinformation or misrepresentation

• deceptive or misleading attribution

• unlawful or unethical purposes

10. Third-Party References

References to external companies, delivery platforms, restaurants, distributors, or technologies are for contextual purposes only and do not imply endorsement or affiliation. Pannifera may operate under license to certain intellectual property or system components. No rights to such underlying technologies are granted through use of this Site.

11. Compliance and Export Controls

You agree to comply with all applicable laws and regulations, including export controls and sanctions.

You represent that you are not subject to applicable trade restrictions and will not use the Site for prohibited purposes.

12. Security and Responsible Disclosure

If you identify a potential security issue, contact:

Do not attempt unauthorized access, testing, or system interference.

13. Governing Law and Miscellaneous

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. Exclusive venue lies in Utah County, Utah.

If any provision is held unenforceable, the remainder remains in effect.

These Terms constitute the entire agreement regarding Site use.

14. Revisions

We may update these Terms from time to time. Continued use of the Site constitutes acceptance of the revised Terms.
